Unless you replace your HDD, all your programs and settings should still be there. You will just need to let Windows walk you through installing a new driver for your motherboard, which is very simple, and takes about 2 minutes.

wink2, you'll have to reinstall drivers ( probally best to delete ALL drivers, then shutdown, then swap parts ), but under wink2 BEST bet would be back documents folder, back up any mailboxes ect... then reinstall OS from scratch.

XP good luck on activation, as it might not boot up proper due to hardware changes, and even if you reinstalled the OS, activation might fail due to hardware changes, at that point you have to call MS for new activation key.
Burn them dual layer on a double sided dvd
Although it is always a good ideal to have a backup copy of all important information on the harddrive, changing Motherboards and CPU will not have a large affect on windows being able to run. At the very least you will have to install some new hardware drivers for the motherboard. All you information (Windows, personal files) will still remain accessable after the operation :-)
